These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and BMB Nexus ("we," "us," or "our") regarding your use of our AI-powered marketing automation platform.

1.1 Agreement

• Accessing our website or platform
• Using any of our services or features

You acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.2 Age Requirement

You must be at least 16 years old to use BMB Nexus. By agreeing to these Terms, you represent that you meet this age requirement.

If you are using BMB Nexus on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

BMB Nexus is an AI-powered platform that provides:

• AI Content Generation: Create posts, captions, and copy for social media
• Media Studio: Generate images and videos using AI models
• Multi-Platform Publishing: Post to LinkedIn, Instagram, TikTok, YouTube, Twitter, Facebook
• Campaign Builder: Create and manage marketing campaigns
• AI Agents: Nexus (VA), Scout (Research), Architect (Strategy), Muse (Creative)
• Analytics & Reporting: Track performance and engagement metrics
• Knowledge Base: Upload documents for AI reference (LightRAG memory)

2.2 Service Evolution

BMB Nexus is continuously evolving. We may:

• Add new features and capabilities
• Modify existing features to improve performance
• Discontinue features with 30 days' notice
• Update AI models and providers

3. Account Registration

3.1 Account Creation

You must:

• Provide accurate and complete information
• Use a valid email address
• Be 16+ years old
• Comply with all applicable laws

3.2 Account Security

You are responsible for:

• Keeping your password secure and confidential
• All activity that occurs under your account
• Notifying us immediately of unauthorized access
• Not sharing your account with others

3.3 Account Suspension

We may suspend or terminate accounts if:

• You violate these Terms
• Payment fails or is disputed
• Fraudulent activity is detected
• Required by law or legal order
• Account is inactive for 12+ months

4. Acceptable Use Policy

4.1 Permitted Use

You MAY:

• ✅ Generate unlimited content within your plan limits
• ✅ Use AI agents for legitimate business purposes
• ✅ Upload documents to your knowledge base
• ✅ Manage multiple brands/clients (agency use)

4.2 Prohibited Use

You MAY NOT:

• ❌ Generate illegal, harmful, or abusive content
• ❌ Spam, harass, or send unsolicited messages
• ❌ Violate social media platform policies (LinkedIn, Instagram, etc.)
• ❌ Share accounts or resell access without authorization
• ❌ Reverse engineer, decompile, or copy our technology
• ❌ Use for hate speech, violence, or illegal activities
• ❌ Impersonate others or create fake accounts
• ❌ Scrape, abuse, or overload our APIs
• ❌ Bypass rate limits or usage restrictions
• ❌ Use for cryptocurrency scams or MLM schemes
• ❌ Generate sexually explicit or adult content
• ❌ Create content that infringes copyright/trademarks

4.3 Content Moderation

We reserve the right to:

• Review content generated on our platform
• Remove content that violates these Terms
• Report illegal activity to authorities
• Cooperate with law enforcement investigations

5. Subscription & Payment Terms

5.1 Billing

• Billing Cycle: Monthly subscriptions
• Currency: EUR (Euros)
• Payment Processor: Stripe (PCI DSS compliant)
• Auto-Renewal: Subscriptions renew automatically unless cancelled
• Billing Date: Same date each month (or closest available date)

5.2 Founder Tier Pricing (Limited to 20 Users)

5.3 Standard Pricing

• Prices may change with 30 days' notice
• Existing customers: Grandfathered pricing for 12 months
• New features may have additional costs
• Enterprise plans: Custom pricing available

5.4 Cancellation

• Cancel anytime in Account Settings → Billing
• Access continues until end of current billing period
• No partial refunds for unused time
• Data retained for 30 days after cancellation (soft delete)
• Can reactivate within 30 days to restore account

5.5 Refund Policy

No refunds after 14 days or for:

• Partial months of service
• Account terminations due to Terms violations
• Renewal months (cancel before renewal to avoid charges)
• Add-on purchases (one-time, non-refundable)

5.6 Failed Payments

• Retry schedule: 3 attempts over 10 days
• After failed retries: Account suspended (read-only mode)
• After 30 days: Account scheduled for deletion
• Reactivation: Update payment method + pay outstanding balance

6. Usage Limits & Add-Ons

6.1 Fair Usage Policy

BMB Nexus is designed for professional business use, not industrial-scale content farms.

Typical Usage (Included):

• 50-200 content pieces per month
• 10-30 AI video generations per month
• 50-100 AI image generations per month
• Unlimited text-based AI queries (Scout, Nexus)
• 5 connected social media accounts
• 10GB knowledge base storage (RAG memory)

6.2 Add-On Credits

If you need more capacity, purchase one-time add-ons:

• AI Video Pack: +50 video generations (€49)
• AI Image Pack: +500 image generations (€29)
• Storage Expansion: +25GB knowledge base (€15/month)
• Platform Slot: +5 social accounts (€19/month)

Add-on terms:

• Non-refundable
• Credits expire 90 days after purchase (one-time packs)
• Monthly add-ons renew automatically (can cancel anytime)

7. Content Ownership & License

7.1 Your Content

You own everything you create:

• Posts, captions, and copy you generate
• Images and videos created with AI
• Campaign data and analytics
• Documents uploaded to knowledge base

We do NOT:

• ❌ Claim ownership of your content
• ❌ Use your content to train public AI models
• ❌ Sell or license your content to third parties
• ❌ Display your content publicly without permission

7.2 License You Grant Us

To provide the service, you grant BMB Nexus a limited, non-exclusive license to:

• Store your content on our servers
• Process content through AI models (OpenAI, Anthropic, etc.)
• Display content back to you in the platform
• Post content to your connected social media accounts (when you click "Publish")
• Cache content for performance optimization

This license ends when:

• You delete the content from our platform
• You cancel your account and request data deletion

7.3 AI-Generated Content

7.4 Your Responsibilities

You are solely responsible for:

• Ensuring your content is legal and does not infringe others' rights
• Complying with platform-specific policies (LinkedIn, Instagram, etc.)
• Verifying factual accuracy of AI-generated content
• Obtaining necessary rights/licenses for images, music, etc.

8. Platform Integrations

8.1 Social Media Connections

When you connect social media accounts via OAuth:

• You authorize us to post content on your behalf
• You can revoke access anytime in Account Settings
• We only access permissions you explicitly grant
• We never post without your approval (you must click "Publish")

8.2 Platform API Changes

We are NOT responsible for:

• Changes to third-party platform APIs (LinkedIn, Instagram, etc.)
• Platform rate limits or restrictions
• Account suspensions by social media platforms
• Loss of platform features or access

If a platform makes breaking API changes, we'll work to restore functionality but cannot guarantee specific timelines.

8.3 OAuth Token Security

• Tokens are encrypted using AES-256 encryption
• Stored securely in our database
• Automatically refreshed when needed
• Never exposed to frontend/client-side code
• You can disconnect platforms anytime (revokes tokens)

9. Service Availability

9.1 Uptime Goal

We strive for 99.9% uptime but do NOT guarantee uninterrupted service.

9.2 Scheduled Maintenance

• Notification: 48 hours advance notice via email + dashboard banner
• Timing: Off-peak hours when possible
• Duration: Typically 1-3 hours

9.3 Emergency Maintenance

• May occur without notice for critical security issues
• We'll notify users as soon as possible
• No compensation for emergency downtime

9.4 What We Don't Guarantee

• ❌ 100% error-free operation
• ❌ Specific AI output quality or accuracy
• ❌ Third-party service availability (OpenAI, social platforms)
• ❌ Specific response times for AI generation

10. Limitation of Liability

10.1 We Are NOT Liable For:

• Lost Revenue: Missed business opportunities or sales
• Data Loss: Deleted content, corrupted files (maintain your own backups)
• Third-Party Failures: OpenAI outages, LinkedIn API changes, etc.
• AI Accuracy: Incorrect or inappropriate AI-generated content
• Platform Bans: Social media account suspensions or restrictions
• Indirect Damages: Consequential, incidental, or punitive damages
• Business Interruption: Downtime affecting your operations

10.2 Maximum Liability Cap

Our total liability to you for any claim is limited to:

This limitation applies regardless of the form of action (contract, tort, negligence, etc.).

10.3 Exceptions

These limitations do NOT apply to:

• Gross negligence or willful misconduct by BMB Nexus
• Personal injury or death caused by our negligence
• Fraud or fraudulent misrepresentation
• Violations of consumer protection laws that cannot be waived

11. Intellectual Property

11.1 Our IP Rights

BMB Nexus owns all rights to:

• Platform name, logo, and branding
• Source code and software architecture
• UI/UX design and interface
• Proprietary algorithms and AI training
• Documentation and tutorials

11.2 Prohibited Actions

You may NOT:

• ❌ Copy, replicate, or clone our platform
• ❌ Use our branding without written permission
• ❌ Reverse engineer or decompile our code
• ❌ Create derivative works based on our technology
• ❌ Remove copyright notices or watermarks

11.3 Trademark Usage

12. API Usage (When Available)

If/when we offer API access:

12.1 API Terms

• Must be approved for API access (not available by default)
• Rate limits apply (documented per endpoint)
• API keys are non-transferable
• Usage subject to same Acceptable Use Policy

12.2 API Abuse

Results in immediate suspension:

• Exceeding rate limits excessively
• Automated scraping or data mining
• Reselling API access without authorization
• DDoS or malicious attacks

13. Beta Features

Some features are marked "Beta" or "Experimental":

13.1 Beta Disclaimers

• May have bugs, errors, or incomplete functionality
• Can change or be removed without notice
• Provided "as-is" with no guarantees
• Data may not persist if feature is discontinued

13.2 Feedback

By using beta features, you agree that:

• We may collect usage data to improve the feature
• Feedback you provide becomes our property
• We can use your suggestions without compensation

14. Termination

14.1 We May Terminate If:

• You violate these Terms or Acceptable Use Policy
• Payment fails repeatedly (after 3 retry attempts)
• Fraudulent activity or abuse is detected
• Required by law or legal order
• Account inactive for 12+ months

14.2 Effects of Termination

• Immediate: Access to platform revoked
• Days 1-30: Soft delete (data retained, account can be restored)
• Day 31+: Hard delete begins (permanent removal)
• No refunds for unused subscription time (if terminated for violations)

14.3 You May Terminate:

• Cancel subscription anytime in Account Settings
• Request immediate data deletion (overrides 30-day soft delete)
• Download data export before cancellation

14.4 Data After Termination

Within 30 days, you can:

• Export all your content and data
• Restore your account by reactivating subscription

After 30 days:

• All data permanently deleted (cannot be recovered)
• OAuth tokens revoked from social platforms
• Knowledge base and RAG memory erased

15. Changes to Terms

We may update these Terms to reflect:

• New features or services
• Changes in legal requirements
• Improvements to policies
• User feedback and best practices

15.1 Notification

• Major changes: Email notification 30 days in advance
• Minor changes: Dashboard banner notification
• All changes: Updated "Last Modified" date

15.2 Your Options

If you disagree with updated Terms:

• Cancel your subscription before effective date (prorated refund)
